Five questions manufacturers ask before signing
Article numbers refer to our standard one-page commission letter.
Who are you?
Mazlum Saiyd, an independent broker based in Ecublens, Switzerland, working under the name Courtages. Courtages is a one-person business; everything is done in writing. I introduce buyers to manufacturers; I am not your agent and I never speak or sign for you. I do not describe where I find buyers; you judge each one on its description before you decide.
What do I risk by signing?
No cost: no fee, no advance, no exclusivity, no minimum. You pay a commission only on an order from a buyer you accepted (or a company of its group), including orders placed through your dealers, and only in proportion to what you have actually been paid (article 3). Your other main commitments (articles 3 and 4): inform me of orders and payments from accepted buyers, keep our exchanges confidential and do not go around the commission.
What if I already know the buyer?
You see each buyer's need, without its name, before you accept it, and you may decline it without giving a reason (article 2). If the name, once disclosed, turns out to be a customer you or one of your dealers had already quoted, or was in substantial talks with, for the same purchase in the six months before the registration, you may cancel the registration within 5 business days after the introduction, with written evidence, and owe nothing for it (article 2).
Will this conflict with my dealers?
The letter gives no territory and no exclusivity; you decide buyer by buyer. If an accepted buyer orders through one of your dealers, the commission is still due (article 3), so check first: if you need the buyer's country to check it against your dealers' territories, just ask and I will give it before you sign.
How do I end it?
By e-mail, with 30 days' notice; the letter still covers buyers you accepted before that date (article 5). Swiss law applies.
Signing takes one line: a reply “Agreed” from your company e-mail address, by someone authorised to sign for the company. If someone else signs, simply forward the e-mail to them.
This page is information only; the commission letter alone is binding.
